Terms & Conditions

These Terms and Conditions ("Terms") govern your access to and use of Hookable, an AI-powered video editing and captioning service ("Service"), operated by Moritz Rosenthal ("we," "us," or "our"), located at Redtenbacherstraße 5, 76133 Karlsruhe, Germany. By accessing or using the Service, you agree to be bound by these Terms. If you do not agree, please do not use the Service.

1. Eligibility

You must be at least 16 years of age to use the Service. By using Hookable, you represent and warrant that you meet this minimum age requirement and that you have the legal capacity to enter into these Terms.

If you are using the Service on behalf of an organization, you represent that you have authority to bind that organization to these Terms.

2. Accounts

To access most features of Hookable, you must create an account. Account registration and authentication is handled through Clerk, our third-party identity provider. You agree to:

• Provide accurate and complete information during registration
• Keep your login credentials secure and not share them with others
• Notify us immediately of any unauthorized use of your account
• Take responsibility for all activities that occur under your account

We reserve the right to suspend or terminate accounts that violate these Terms or that have been inactive for an extended period.

3. Privacy

Your use of the Service is also governed by our Privacy Policy, which is incorporated into these Terms by reference. Please review our Privacy Policy to understand how we collect, use, and protect your personal data. By using the Service, you consent to the data practices described in the Privacy Policy.

4. User Content

"User Content" means any videos, audio, images, text, and other materials you upload, submit, or process through Hookable. When you use the Service, you:

• Upload videos to Hookable, which are stored securely in Cloudflare R2 cloud storage
• Authorize Hookable to process your videos using AI transcription (WhisperX) to generate caption words with timestamps
• Configure caption styles, hook overlays, B-roll clips, sound effects, and other creative elements
• Export rendered videos using our cloud rendering infrastructure (Remotion on Modal)

You retain all ownership rights to your User Content. By uploading content to Hookable, you grant us a limited, non-exclusive, royalty-free license to store, process, and render your content solely for the purpose of providing the Service to you.

You represent and warrant that: (a) you own or have the necessary rights to all User Content; (b) your User Content does not infringe any third-party intellectual property, privacy, or other rights; and (c) your User Content complies with all applicable laws and these Terms.

5. User-Uploaded Audio and Media

Hookable allows you to upload your own audio files (including background music and sound effects) for use in your video projects. You are solely responsible for ensuring that any audio, music, or media you upload is properly licensed or royalty-free for your intended use.

Hookable does not monitor, screen, or verify the copyright status of user-uploaded audio or media files. We do not provide any copyright-cleared or licensed music. By uploading audio or media content, you represent and warrant that you hold all necessary rights, licenses, and permissions to use that content in your videos and to distribute the resulting output.

You agree to indemnify and hold harmless Moritz Rosenthal from any claims, damages, or legal actions arising from your use of copyrighted or unlicensed audio, music, or other media in your projects. This includes, but is not limited to, any copyright infringement claims made by third parties regarding content you uploaded to or distributed through the Service.

6. Prohibited Conduct

You agree not to use the Service to:

• Upload, process, or distribute any content that is illegal, harmful, threatening, abusive, harassing, defamatory, or otherwise objectionable
• Infringe upon or violate any third party's intellectual property rights, including uploading copyrighted videos, music, audio, or other media without proper authorization or licensing
• Reverse engineer, decompile, disassemble, or attempt to derive the source code of the Service or its underlying components
• Use the Service to generate, distribute, or promote hate speech, violence, or discrimination
• Introduce malware, viruses, or other malicious code into the Service
• Attempt to gain unauthorized access to any part of the Service, other accounts, or our systems
• Use the Service for any fraudulent or unlawful purpose
• Scrape, crawl, or systematically download content from the Service without our prior written consent
• Use the Service in a manner that could disable, overburden, or impair our servers or networks
• Resell, sublicense, or commercially exploit the Service without our explicit written authorization

7. Copyright Takedown (DMCA / EU DSA)

We respect the intellectual property rights of others. If you believe that content hosted on Hookable infringes your copyright, you may submit a takedown request to our designated contact:

Your notice must include: (a) identification of the copyrighted work; (b) identification of the infringing material and its location on the Service; (c) your contact information; (d) a statement that you have a good-faith belief that the use is not authorized; and (e) a statement, under penalty of perjury, that the information is accurate and you are authorized to act on behalf of the copyright owner.

Upon receipt of a valid notice, we will promptly remove or disable access to the infringing material. Users who repeatedly infringe copyrights may have their accounts terminated.

8. Limited License

Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for your personal or internal business purposes. This license does not include the right to: resell or commercially exploit the Service; copy, reproduce, or distribute the Service's underlying software or technology; or create derivative works based on the Service without our express written consent.

9. Subscriptions and Payments

Hookable offers both free and paid subscription plans. Paid subscriptions are processed through Stripe, our payment processor. By subscribing to a paid plan, you agree to:

• Pay the applicable fees as described on our pricing page
• Authorize recurring charges to your payment method on a monthly or annual basis, as selected
• Provide accurate payment information and keep it up to date

We reserve the right to change pricing at any time. We will provide reasonable advance notice of any price changes. Continued use of the Service after a price change constitutes acceptance of the new pricing.

Subscriptions automatically renew unless cancelled before the renewal date. You may cancel your subscription at any time through your account settings. Refunds are subject to our Refund Policy.

10. Feedback

If you submit feedback, suggestions, or ideas about the Service ("Feedback"), you grant us an unrestricted, perpetual, irrevocable, royalty-free right to use, reproduce, modify, and incorporate such Feedback into the Service or other products without any obligation to you. You waive any moral rights in such Feedback to the extent permitted by applicable law.

11. Indemnification

You agree to indemnify, defend, and hold harmless Moritz Rosenthal, his affiliates, and their respective officers, agents, and employees from and against any claims, liabilities, damages, losses, and expenses, including reasonable legal fees, arising out of or in connection with: (a) your use of the Service; (b) your User Content; (c) your violation of these Terms; or (d) your violation of any rights of another person or entity.

12. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, WE DISCLAIM ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not warrant that the Service will be uninterrupted, error-free, or free of viruses or other harmful components. AI transcription accuracy may vary depending on audio quality, language, and other factors. We do not guarantee specific transcription accuracy.

13. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL MORITZ ROSENTHAL BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE SERVICE.

IN ANY CASE, OUR TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID TO US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR EUR 100, WHICHEVER IS GREATER.

14. Changes to These Terms

We may update these Terms from time to time. We will notify you of material changes by posting the revised Terms on this page and updating the effective date. For significant changes, we may also notify you via email. Your continued use of the Service after changes become effective constitutes acceptance of the revised Terms.

15. Communications

By creating an account, you consent to receive transactional and service-related communications from Hookable, including email notifications about your account, exports, and subscription status. You may opt out of non-essential marketing communications at any time.

16. Termination

You may terminate your account at any time by contacting us at [email protected] or through your account settings.

We reserve the right to suspend or terminate your access to the Service at any time, with or without notice, if we reasonably believe you have violated these Terms, applicable law, or if continuing to provide the Service would expose us to legal liability. Upon termination, your right to use the Service ceases immediately. We may delete your User Content and account data in accordance with our data retention policies.

17. Governing Law and Jurisdiction

These Terms are governed by and construed in accordance with the laws of the Federal Republic of Germany, without regard to its conflict of law provisions. Any disputes arising out of or relating to these Terms or the Service shall be subject to the exclusive jurisdiction of the courts of Karlsruhe, Germany. If you are a consumer in the EU, you retain the benefit of any mandatory protections provided by the laws of your country of residence.

18. Miscellaneous

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall continue in full force and effect. Our failure to enforce any provision shall not constitute a waiver of our right to enforce it in the future.

These Terms constitute the entire agreement between you and Moritz Rosenthal regarding the Service and supersede all prior agreements and understandings.
